Job Summary & Essential Functions:

Assists the in-house legal department in ensuring compliance with applicable legal and regulatory requirements. Works with the Director of Contracts in reviewing and negotiating customer and vendor-facing agreements.  Assists the Corporate Secretary in maintaining corporate governance documents and with securities-related and listed company exchange requirements.  Will be responsible for assisting the legal department with maintaining and organizing legal files and the department budget.
Bachelor’s degree and paralegal certificate required.  Notarial certification and experience in the aerospace and defense industry a plus.

Required Skills & Qualifications:

We are seeking a motivated, results-oriented individual to grow and continue to improve our legal department function. The Corporate Paralegal will provide leadership and direction to the Company’s nationwide workforce regarding contractual matters and regulatory compliance issues in a manner consistent with the overall Ducommun policy and legal requirements. The position supports operating locations throughout the United States and Mexico.

RESPONSIBILITIES:
Review, edit, and negotiate commercial and governmental contracts, including but not limited to NDAs, long-term agreements, SOWs and POs.
Organize and maintain an electronic contracts database and other legal documents in compliance with record keeping requirements.
Assist with the drafting, review and filing of Section 16 and other securities-related filings.
Organize and manage governance-related documents, including maintaining books and records, and registrations in appropriate jurisdictions.
Assist with various administrative agency filings, including export control licenses, New York Stock Exchange and environmental filings.
Assist with tracking legal budget and quarterly spend.

Required Experience/Education/Training/Certifications:

Bachelor’s degree from accredited university required.
Paralegal certificate required and notary certification a plus.
Minimum of 5-7 years in-house corporate paralegal experience required. Experience at an aerospace and defense company a plus.
Ability to communicate effectively and work across all levels of the organization.
Strong leadership, organization and project management skills.
Strong skills in Microsoft Office suite products. Experience with data driven performance metrics preferred.

Flexibility in work hours and responsibilities, willingness to work evenings or weekends to assist with closings, filings and during high activity periods.
Proficiency in Microsoft Office applications including Word, Excel, and PowerPoint, and Adobe Acrobat required.
