Job Description

Founded in 1849, the Company specializes in two core areas - Electronic Systems and Structural Systems - to produce complex products and components for commercial aircraft platforms, mission-critical military and space programs, and sophisticated industrial applications.

This M&A Manager position offers exposure to the senior executive leadership team and interface with key departments within the organization like the finance team, business development, engineering and operations.

To be successful in this role, the candidate should be able to manage large cross-functional teams, but also be a self-starter that can work independently. Excellent analytical, communication, and time management skills are necessary.

Responsibilities would include, but are not limited to:

Strategic Planning:

  • Support the annual strategic planning process and help in formulation of the company’s long term objectives and plans.  This includes review of the portfolio to assess and identify strategic growth areas and initiatives (both organic and through acquisition), including evaluating new and adjacent markets
  • Support and drive ad hoc strategy projects that may be identified by the management or on direction of the Board based on prevailing trends in the industry that either have an impact on the business or present an opportunity.

Mergers & Acquisitions

  • End to end project management of a deal from origination to closure
  •  Perform routine market research, engage in dialog within the company, and monitor trends in the industry to identify potential acquisition opportunities and build and maintain a robust pipeline
  •  Accompany leadership in meetings with potential target companies to assess strategic fit.
  •  Build financial valuation models including discounted cash flows, leveraged buyouts, accretion/dilution analysis.
  • Manage and coordinate cross-functional due diligence teams including both internal resources and external advisers to support acquisitions and divestitures
  • Track and summarize diligence issues and drive to resolution
  • Draft presentations on potential transactions for senior management and for the Board of Directors to facilitate decision making
  • Liaise with the Legal and the cross-functional diligence teams to coordinate drafting and negotiation of contracts.

Integration Management

  • Support the integration effort and act as the Integration Management Office, where appropriate to ensure execution to the acquisition plan

Skills & Qualifications

  • Bachelor’s degree in Accounting, Finance or related field with an MBA (preferred)
  • Bachelor’s degree in Engineering or related field with an MBA or prior work experience in valuation and financial modelling (required)
  • 2-4 years of experience working in mergers & acquisitions, analyzing financial and market data, and taking a deal through the full process through to successful completion.
  • Relevant work experience could have been in an investment bank, consulting firm or in the corporate development function of a Fortune 100 Corporation.
